SHORT HISTORY

About 400 years ago, BC our Dacian ancestors - a Thracian people branch used various remedies obtained from plants. Earlier in the Carphatic-Danubian zone spreaded a medical religious outlook belonging to the most known Getic-Dacians king deified under the name of Zamolxes, from whom are still maintaining some popular remedies. After some suppositions, it was believed that Asklepios himself would have been Thracian by birth, preparing in this European land, applying later his medical knowledge in the Ancient Greek. The Thracian-Dacian elements of medicine were later mentioned in Plinius the Old manuscripts.

The Romanian monastic establishments in time had an important part in transmission of knowledge about the medicinal plants used in the treatment of various diseases, from generation to generation.

In order to heal the sick believers, around the monasteries were tilling medicinal plants. These plants were submitted to process in vegetal drugs processing rooms, distilleries etc. It had been documentary certificated the so-called "old hospitals" near monasteries where the monks were using harvested and processed medicinal plants.

During the reign of Romanian kings: Mircea the Old, Alexander the Good and Stephen the Great were concluded conventions with merchants in which the medicinal plants were nominated, facts that are a proof of the medicinal plants trade and process in such overtaking internal demand quantities.

In the Romanian therapeutical medicine the beginnings of using medicinal plants are linked and documentary certified since the XIV to XV century. In our days the popular remedies are still practised, like a real proof of their deep roots lost in the ancient times.

There are a lot of historical documents, which inform us about the use of medicinal plants in Romania. I have to mention that in 1904, under the management of Bela Pater, in Cluj was founded the first scientific research station in the world, specialised in the study of medicinal plants.

In 1948 it was founded the first form of organisation subordinated to the Ministry of Health, called ICS PLAFAR as an industrial company at a national level, in the field of growing, collecting and processing medicinal herbs, aromatic plants, toxic plants and spices. In 1955 the above mentioned activity was taken up by CENTROCOOP by founding the Direction of medicinal, aromatic, toxic herbs and spices and in 1975 the PLAFAR TRUST was founded by buying from CENTROCOOP. The Plafar Trust functioned until 1990 when was founded REGIA AUTONOMA PLAFAR, FARES ORASTIE, FITOTERAPIA BUCURESTI and ROMFLORES ORADEA. From 1999 RA PLAFAR is called National Society Plafar SA and it is a governmental society.

After 1990 in Romania there appeared a lot of private producers, processors and traders of medicinal and aromatic plants. They really need professional help in their activities and this was one of the main reason to found a professional, scientific and non-governmental association.

A.P.P.P.M.A.R. is an independent, professional and scientific, apolitical, non-governmental and non-profit legal entity governed by the Romanian Law and the provisions in its Statute. A.P.P.P.M.A.R. is registered in Brasov and has members in all Romania and abroad.

Purpose of A.P.P.P.M.A.R.

The objectives of A.P.P.P.M.A.R.
  1. Creation of a data base for:

  2. Organisation of qualification, training, refreshing and specialisation courses for the members of the Association and for other persons interested in this specific field of activity.

  3. Setting and keeping permanent contacts within the members of A.P.P.P.M.A.R. and the members of other similar groups in Romania and abroad as well as with other specialised persons who are not part of any groups or associations.

  4. Stimulating the interest of the larger public towards the use of medicinal and aromatic plants through: a better knowledge of phytotherapy and its advantages in curing certain diseases and maintaining good health, issuing specialised publications, organising fairs and internal and international exhibitions.

  5. Collaboration with the committees within the Romanian Academy, the Academy for Agricultural and Forestry Sciences, the Academy for Medical Sciences, the Ministry of Industry and Commerce, the Ministry of Labour and Social Protection, the Ministry of National Education, with the specialised task forces within ANM and ICCF, with the Romanian Phytotherapy Society, the Research Station for Medicinal and Aromatic Plants Fundulea, with the specialised chairs within the University centres, the Romanian Standardisation Association, etc.

  6. Promotion of the interests of the members of the Association and improvement of the cultivation, ecological harvesting from the spontaneous flora, processing and trading of medicinal and aromatic plants and of the resulting by-products.

The main activities unfolded by A.P.P.P.M.A.R.
  1. Establishing contacts and collaboration with similar groups and associations from Romania and from abroad;

  2. Circulation of a monthly Informative Bulletin (denomination, editorial group, headquarters, structure of information to be set and approved by the Board of Directors of A.P.P.P.M.A.R);

  3. Developing leaflets, and other advertising materials specific for public relations activities on topics related to the activities of the Association and of its members;

  4. Organisation of training courses on topics regarding environmental issues in relation with medicinal and aromatic plants;

  5. Organisation of camps for training, educating the people in matters regarding environment, rehabilitation of natural basins, ecological harvesting of medicinal and aromatic plants from the spontaneous flora;

  6. Annual publishing of the Catalogue of the members of the Association containing the products resulting from the activities of the Association and circulation of the catalogue to all the economic agents in Romania and abroad through the trade agencies of the embassies and through the Internet;

  7. Periodical organisation of meetings, symposiums, exhibitions, seminars and other similar activities with a view to developing specific activities;

  8. Consulting on request from both the members of the Association and from other individuals showing interest in this field of activity.

The members of A.P.P.P.M.A.R.

Honorary members may be scientific or cultural personalities or other persons with outstanding achievements in the field who support the Association and who, through their position or activities contribute to the good name of the Association.

Founding members are persons who contributed to setting up of the Association and who deposited the sums of money necessary for the initial funds, them being named in the Articles of Incorporation. They are research workers, accountants, agricultural experts, biochemists, biologists, head managers, jurists, pharmaceutical chemists, physicians, phytoterapeuts, and professors.

Active members are natural persons with preoccupations specific to the Association who acknowledge the Statute, pay the subscription and actively participate to the activities of the Association.

Associated members are productive units, specialised institutions, specialised producers who pay the enlisting fee and contribute to the financing of A.P.P.P.M.A.R. and of the Informative Bulletin and the Annual Catalogue of the members of the Association.

STATUTE
1. GENERAL

Art. 1 Styling and Constitution

The Association of Medicinal and Aromatic Plant Producers in Romania (APPPMAR) is hereby set up. This denomination shall be observed in all documents, adds, publications and in all relations with third parties from Romania and from abroad.

Art. 2 Legal status

The Association of Medicinal and Aromatic Plant Producers in Romania (APPPMAR) is an independent, professional and scientific, apolitical, non-governmental and non-profit legal entity governed by the Romanian Law and the provisions in the present Statute.

Art. 3 Registered place

The registered place of A.P.P.P.M.A.R. is in Brasov, 1, Ion Mesota Street.

Art. 4 Duration

A.P.P.P.M.A.R. is set up for an indefinite period of time.

CHAPTER II

Purpose and objectives of A.P.P.P.M.A.R.

Art. 5

A.P.P.P.M.A.R. is set up mainly to promote the interests of its members and of other legal entities from Romania and from abroad who deal in the cultivation of medicinal and aromatic plants, environmental friendly cropping of medicinal and aromatic plants from the spontaneous flora, cultivation and improvement of the species and in establishing modern cultivation technologies for medicinal and aromatic plants of economic interest from the home flora and from the flora from other geographical regions, production of seeds, superior processing and valorisation thereof and of the products resulting from the industrial processing both on the Romanian and foreign markets.

Art. 6

The Association aims at promoting the interests of its members the objectives of whom cannot be achieved individually and defends and represents the respective interests in front of the governmental and legislative bodies, deals with training specialised work force for the trades specific to this field of activity, facilitates internal and international Cupertino between the members of similar associations in order to develop and render profitable the cultivating, environmental friendly cropping, processing and trading activities with medicinal and aromatic plants and the related by-products.

The objectives of A.P.P.P.M.A.R are:

Art. 7

The purpose of the Association is to promote and represent the interests of its members, to stimulate collaboration within the members and with other individuals outside the Association, or with associations and institutions involved in similar activities, to encourage the producers, farmers, traders and consumers of medicinal and aromatic plants, to train and qualify the required work force, to contribute to the development of the research and scientific activities and to collaborate and co-operate with the University Centres and other institutions from Romania and from abroad.

CHAPTER III

The members of A.P.P.P.M.A.R.

Art. 8

The members of A.P.P.P.M.R. may be natural persons or legal entities signing a written adhesion statement, having preoccupations in the field of interest of A.P.P.P.M.A.R. or who wish to participate to the activities of the Association in order to achieve the purposes as stated in the Statute. The obligation of each and every member is to abide by the provisions in the Statute, in the regulations and programs of the Association and to pay the enlisting fee and regular subscription. The legal entities shall assign a permanent representative to the General Assembly.

The categories of members are:

Art. 9 Loss of membership

Art. 10

The founding members, active members and the associated members (through assigned representatives) of A.P.P.P.M.A.R. have the following rights:

The founding members and the honorary members are exempted from the payment of subscription and enlisting charge.

All the members of the Association are obliged:

CHAPTER IV

Structure of the Association and Managing Bodies

Art. 13

A.P.P.P.M.A.R. is structured as follows:

    1. The General Assembly - ordinary and extraordinary

    2. The Board of Directors

    3. Commissions for speciality problems;

    4. Commission of auditors

    5. Other structures (subsidiaries) reporting straight to the central Board of Directors;

    6. Executive Committee

    7. Founding members, associated members, active members and honorary members.

Managing Bodies:

Art. 14

The managing bodies of A.P.P.P.P.M.A.R. are the General Assembly, the Board of Directors and the President.

The General Assembly of the Association is the supreme managing body of the Association. To be able to take decisions 2/3 of the members has to be present. In case the right number cannot be met on the first summons, the meeting of the General Assembly it shall be postponed to another date, not later than 20 days from the date as per the first summons. The President of the Association shall set the date for the adjourned meeting. On the second date, the General Assembly shall be considered valid if at least 50% of the members are present.

The General Assembly shall be held at least once a year with the following agenda:

Art. 15.

The extraordinary general Assembly of the members of A.P.P.P.M.A.R. is held on request from the Board of Directors or from 1/3 of the members. The extraordinary General Assembly shall be summoned at least 15 days before the set date. The decisions of the extraordinary General Assembly are valid and effected if approved with the simple majority of the present members.

The Board of Directors

Art. 16

Between two General Assemblies the activity of A.P.P.P.M.A.R. is managed by a Board of Directors which is the executive body of the Association and it ensures the enforcement of the decisions of the General Assembly.

The Board of Directors counts 13 active members appointed by the General Assembly. The chiefs of the speciality commissions shall be among the members and they shall also be appointed vice-presidents of the Board of Directors.

The members of the Board of Directors are elected over a period of 2 years by the General Assembly through balloting.

The Board of Directors, on the first meeting held on the occasion of the General Assembly shall elect:

The Board of Directors meets monthly or any time the President or (if absent) one of the Vice-Presidents considers necessary.

When one of the places in the Board of Directors becomes vacant, the Board shall propose new members and the candidates shall be subject to debates on the agenda of the next General Assembly.

The members of the Board of Directors can not be elected for more than two consecutive mandates, excepted from this provision being the experts appointed as chiefs of commissions.

Art. 17

The Board of Directors has the following competencies:

The President of the Association

Art. 18

The President of the Board of Directors is rightfully also the President of the Association and he is elected by the Board of Directors for a period of 3 years. He represents the Association in all matters and relations with third parties. He cannot be elected for more than two consecutive mandates.

Art. 19

The President has the following competencies:

In case of death or dismissal of the President, the activity of the Association shall be managed by the Chief of the Commission for legislation, training and environment protection until a new President is elected by the extraordinary General Assembly.

Speciality Commissions

Art. 20

The Speciality Commissions have the role to contribute to build, develop and up-date the Data Base of the Association, the information therein being kept for the use of the members of the Association. The Association shall have four such Speciality Commissions:

Art. 21

The Board of Directors establishes the size and the structure of the technical administration department, develops and submits to the approval of the General Assembly the Organisation and Functioning Regulations of the technical administration department. This department may be supplemented as need may require, depending on the development of A.P.P.P.M.A.R. The Board of Directors, the President respectively, may hire staff as required by the activities and targets of the Association.

The Auditing Commission

Art. 22

The General Assembly, from its active members, appoints an Auditing Commission counting 1-3 members who shall control the activity of the Board of Directors. The General Assembly may appoint new members to the Commission whenever considers fit.

Art. 23

The Auditing Commission is appointed for a period of 3 years. In the exercise of their duties the auditors are held responsible only in front of the General Assembly. The duties of the auditors are:

CHAPTER V

The assets of the Company

Art. 24

The assets of A.P.P.P.M.A.R. consist of:

Specialised Date Base (know-how) is one of the main objectives of the Specialised Commissions which must permanently keep it up to date with all the latest information from Romania and from abroad obtained from various sources and from the members of the Association participating to the specialised local and international events, from the Internet, etc.

Cash funds from:

The founding patrimony of the Association was constituted by the founding members and it amounts to 5,000,000 ROL to be subsequently supplemented as provided for above depending on the needs and requirements of the Association. The tangible and intangible assets shall be duly registered.

CHAPTER VI

Miscellaneous

Art. 25

A.P.P.P.M.A.R. may open branch subsidiaries in any locality in Romania. The subsidiaries shall be managed by a Territorial Board of Directors consisting of one president, one vice-president, one secretary and 2 members elected through ballot by the active members - founding members included - registered in the respective territorial region. The number of members of the subsidiaries shall be established by the General Assembly. The Territorial Board of Directors reports to the Central Board of Directors.

Art. 26

The enlisting fees and the annual subscription for the active and associated members shall be set on the occasion of the first meeting of the General Assembly after incorporation.

Art. 27

Other provisions with regard to the organisation and functioning of the Association shall be contained into a set of Organisation Regulations, which shall be submitted for approval to the General Assembly. Proposals for modifications to be brought to the present Statute must come from the Board of Directors or from 1/3 of the members of the General Assembly.

CHAPTER VII

Termination and Liquidation of the Association

Art. 28

A.P.P.P.M.A.R can be terminated in the following cases:

    1. On decision of the General Assembly;

    2. In case the purpose of activity is not achieved or is impossible to achieve;

    3. In case of bankruptcy and if it cannot continue its activity;

    4. On Court decision;

    5. If the number of the members drops under the statutory limit (20 members)

    6. If the managing bodies can no longer be constituted as per the Statute;

    7. In any other lawfully provided situation.

Liquidation of the Association

Art. 29

In case of liquidation the General Assembly appoints a Liquidation Commission which shall take all reasonable measures as to the liquidation of the Association. The Liquidation Commission shall take all the necessary steps to advertise the liquidation and to register all the legal mentions. The liquidators, together with the Board of Directors, shall make an inventory and draw the balance of the assets and to inform the creditors of the Association. Once the liquidators are appointed the mandate of the managing bodies of the Association comes to an end. The liquidators are obliged to continue the businesses under way, pay the creditors draw up the balance sheet and submit it to Court, to the Ministry concerned and publish it in the Official gazette.

Art. 30

The liquidators unfold their activities as per the lawful provisions in force, mainly as per Law 21/1924 (art. 54 and following).

Final clauses

Art. 31

The present Statute is supplemented with the provisions in Law 21/1924 and was adopted on the meeting of the General Assembly of the 2nd day of July 1998.

The Statute was drawn up and authenticated at the Public Notary's Office CAZAN MARIA, with the registered office in Brasov, 3, Muresenilor street, county of Brasov in 6 (six) copies of which 5 (five) are issued to the parties today the date of the authentication.
